Supplier Business Continuity Management Schedule

Supplier shall develop and shall ensure that all Sub-contractors develop a Business Continuity Plan (“BCP”) that demonstrates business continuity management capability which includes a risk management framework to prevent and recover from threats that may interrupt or negatively impact Supplier’s performance including the provision of Goods and Services to Maersk.

In order to comply with Maersk’s Business Continuity Management Program standards, the Supplier shall:

1. have a business continuity management program based on the accepted international standards (eg: ISO 22301, BCI Good Practice Guidelines etc.).

2. have a documented BCP which includes:

    1. Business continuity measures to ensure continuity of performance;
    2. Recovery time and recovery point objectives for key applications used for performance;
    3. Definitions of how to recover and restore performance with minimal impact to Maersk;
    4. A schedule of testing and reviewing the BCP.

3. on an annual basis or when there are major changes review the BCP and perform a risk assessment to identify the risks that could cause a business interruption in performance and ensure that appropriate controls are implemented to mitigate the risks.

4. assign an accountable person for business continuity management.

5. notify Maersk in the event of any interruption of performance within 24 hours or other mutually agreed timeline.

6. have a plan describing the first response actions to be taken in the event of an incident or event that impacts performance.

7. shall use best endeavours to comply with the instructions of Maersk during any incident or interruption of performance.

Supplier shall maintain adequate records in order to verify its compliance with the provisions of this schedule. Maersk shall have the right to audit the Supplier and its Sub-contractors to ensure compliance with this schedule. The Parties shall cooperate in any such audit and otherwise in providing documentation relating to any such dispute or investigation.
